Citizens Choice Energy , LLC. (“Citizens” or “CCE”) Terms and Conditions-V.3.0
1. ELIGIBILITY. Customers that are accepted for enrollment by the local distribution company (LDC) are eligible for this offer from CCE. CCE reserves the right to refuse enrollment to any customer who is not current on the LDC’s billed charges.

2. INFORMATION RELEASE AUTHORIZATION. Customer authorized Citizens to obtain and review information regarding Customer’s credit history from credit reporting agencies and the following information from the LDC: consumption history; billing determinants; account number; credit information; public assistance status; existence of medical emergencies; status as to whether Customer is human needs, elderly, blind or disabled and data applicable to cold weather periods under PSL 32 (3); and information pertaining to PSL 33, Tax status and eligibility for economic development or other incentives. This information may be used by Citizens to determine whether it will commence and/or continue to provide energy supply service to Customer and will not be disclosed to a third party unless required by law. Customer’s execution of this Agreement shall constitute authorization for the release of this information to Citizens. This authorization will remain in effect during the Initial Term and any Renewal Term. Customer may rescind this authorization at any time by providing written notice thereof to Citizens or by calling Citizens at 1.866.223.8882. Citizens reserves the right to cancel this Agreement in the event Customer rescinds the authorization. By providing Citizens Choice your email address, you will receive emails from us or third parties about products and services that may be on interest or benefit to you. If you do not want to receive email communications from CCE about products and services that may be of interest to you, simply indicate this preference by emailing us. We may still communicate with you using any of these methods regarding your use of our Website, your orders or your account.

3. PRICE. During the term of this agreement, all kilowatt- hours (kWh) of electric energy and/or all cubic feet (CCF) of natural gas metered by your LDC shall be billed at a variable rate which is established on an approximately monthly basis and is based upon electricity and natural gas market pricing, transportation or transmission, and other market and business price related factors. The price for all electricity sold under this agreement includes all applicable combined transmission, generation and generation-related charges, capacity plus any and all fees, costs, and obligations for transmission or ancillary services, plus all applicable taxes, if any. Notwithstanding any other provision in this Agreement, CCE may change the Variable Price without additional notice and such price may be higher or lower than LDC’s price in any particular month. There is no ceiling price. Green Supply Option: If a customer chooses a green supply option CCE will ensure that 100% of the Customer’s electricity usage is matched by renewable energy certificates or renewable energy attributes. CCE may take up to 24 months after the end of each calendar year under which this Agreement is in effect to address any deficiency that may arise in the green renewable content of electricity sold under this Agreement in the previous calendar year. The price for green energy will be comprised of the CCE variable price plus an amount of 2.99 cents per kwh delivered, plus a monthly fee of $4.95 (if applicable). Customer can cancel the green option of this agreement with at least fifteen (15) calendar days’ notice of its intent to cancel by calling CCE Energy at 1.866.223.8882. The requested drop of the green supply option will occur on the next available date according to the LDC’s switching/change request rules. If you choose to remove green energy, your price will be reduced by the amount that represents that cost of green energy in the amount of 2.99 cents per kwh.

4. BILLING AND PAYMENT. You will continue to receive one bill each month issued by your LDC. Unless otherwise provided herein, payment terms are governed by the terms of LDC’s tariff. Your bill will be based on scheduled meter readings and/or estimates provided by LDC. The parties agree to accept, for purposes of accounting for electricity and natural gas delivered under this Agreement, the quantity, quality, and measurement determined by LDC.

5. TITLE AND TAXES. You shall reimburse CCE for sales or other taxes, however designated, imposed with respect to the sale or transportation of electricity and/or natural gas unless, prior to execution of this Agreement, you have given us a valid tax exemption certificate(s).

6. AGENCY-GAS. Customer hereby designates Citizens as agent to; (a) arrange and administer contracts and service agreements between Customer and Citizens and between the interstate pipeline transporters of Customers natural gas suppliers; b) nominate and schedule with the interstate pipeline the transportation of the customers’ natural gas supplies from the Sales point to the Delivery points, and with the LDC for the transportation of the Customer’s natural gas supplies from the Delivery Points to the Customer’s end-use premises; and (c) aggregate Customer’s natural gas supplies with such supplies of other customers served by Citizens to maintain qualifications for LDC transportation service and resolve imbalances that may arise during the term of this Agreement. Citizens as agent for the Customer will schedule the delivery of adequate supplies of natural gas that meets the Customer’s city gate requirements as established by the LDC and in response to information provided by the LDC. Customer and Citizens agree that title to, control of, and risk of loss to the natural gas supplied by Citizens under this agreement will transfer from Citizens to Customer at the Sales Point(s). The Sales Points for natural gas supplies provided under this Agreement will be a point or points located outside the State of New York as selected from time to time by Citizens to assure service reliability. The Delivery Points for the natural gas transported by interstate pipelines will be the city gate stations of the LDC. Citizens agrees to arrange for the transportation of the natural gas supplied under this Agreement form the Sales Points to the Delivery Points and from the Delivery Points to the Customer’s end-use premises. These services are provided on an arm’s length basis and market-based compensation is included in the price noted above.

7. AGENCY-ELECTRIC. Customer hereby designates Citizens as agent to (a) arrange and administer contracts and service agreements between Customer and Citizens and those entities including the New York Independent System Operator (“NYISO”) engaged in the generation, transmission and delivery of Customer electricity supplies and (b) nominate and schedule with the appropriate entities including the LDC for the delivery of electricity from the Sales Point to the Customer’s end-use premises. Citizens as agent for the customer will schedule the delivery of adequate supplies of electricity that meet the Customer’s requirements as established by the LDC and in response to information provided by the LDC. The title to the electricity shall pass from CCE to you prior to delivery to your LDC, Our price may or may not include sale taxes depending on the LDC requirements. These services are provided on an arm’s length basis and market-based compensation is included in the price noted above.

8. TERM; TERMINATION; AND EARLY TERMINATION FEES. Your service and the term of this agreement shall begin with the next available meter read and continue until either party provides fifteen (15) days’ notice of its intent to cancel; The LDC will complete the termination on the next available meter read date in accordance with its rules. A residential customer may cancel this Agreement at any time during the three (3) business following receipt of this Agreement by calling CCE at 1.866.223.8882. If a Commercial Customer terminates this Agreement prior to the end of the Initial or Renewal Term or if CCE terminates this Agreement due to Customer’s breach, the customer shall pay CCE in addition to any other applicable charges, a cancellation or early termination fee of $250. Notwithstanding the foregoing, for all commercial customers solicited through door-to-door marketing, the early termination fee will be no greater than $100 if the remaining term is less than 12 Months and $200 if the remaining term is 12 months or more.

9. ASSIGNMENT. CCE may assign or transfer its rights or obligations under this Agreement after first informing you in writing of such transfer or assignment. You may not assign or transfer your rights or obligations under this Agreement.

10. CHOICE OF LAW. This Agreement shall be construed in accordance with and be governed by the laws of the State of New York without regard to the conflicts of law provisions thereof.

11. NO WARRANTIES. Customer acknowledges and agrees that no warranty, duty or remedy, whether expressed, implied or statutory, is given or intended to arise out of this agreement except as otherwise expressly stated herein, and CCE specifically disclaims all other warranties, expressed or implied including any warranty of merchantability or fitness for a particular purpose or use.

12. SEVERABILITY. Should any part of this Agreement be declared invalid for any reason, such decision shall not in any manner affect the validity of the remaining portion of this Agreement, which shall remain in full force and effect as if the part determined to be invalid had not been contained herein at the time of the execution of this Agreement. If at some future date there is a change in any law, rule, or regulation whereby CCE is prevented, prohibited or frustrated from carrying out the terms of the Agreement, then, at the sole discretion of CCE, this Agreement may be cancelled. If, at some future date, there is a change in a federal or state approved tariff affecting CCE’s costs to purchase electricity and/or natural gas required to provide your service, then, at the sole discretion of CCE, this Agreement may be modified to reflect those costs.

13. FORCE MAJEURE. Except as otherwise set forth herein, Force Majeure is the only excuse for non-performance and all other excuses (at law or in equity) are waived. Except for payment obligations, a Force Majeure event will, upon notice, excuse both parties’ performance during the event. “Force Majeure” means those events not reasonably anticipated on the effective date hereof and outside the control of the claiming party and include Force Majeure events associated with LDC or the commodity supplier or others used to deliver electricity and/or natural gas to Customer’s residence.

14. LIMITATION OF LIABILITY. In no event shall CCE or customer be liable to the other or to any third party for any indirect, incidental, consequential, punitive, reliance or special damages, including without limitation, damages for lost profits, advantage, savings or revenues of any kind or increased cost of operations, whether or not CCE or customer has been advised of the possibility of such damages. CCE’s liability and customer’s exclusive remedies against CCE, for any damages caused by any service outage, defect or failure shall be the termination provisions set forth above in Section 8. CCE’s liability for other claims arising in connection with any service or this agreement, if not otherwise limited by another provision of this agreement, shall be limited to proven direct damages not to exceed per claim (or in the aggregate during any 12-month period), the total net payments made by customer for the applicable service during the 12 month’s preceding the month in which the damage occurred.

15. INDEMNIFICATION. Customer is responsible for and will indemnify CCE against any and all liabilities resulting from Customer’s failure to fully comply with this Agreement, and damage or injury caused by the electricity and/or natural gas after its delivery to the Customer’s residence.

16. DISPUTE RESOLUTION (Residential). Customer agrees first to contact CCE in writing and attempt to resolve all billing disputes or service problems directly. All disputes regarding transmission, distribution, power outages, and bills from LDC should be directed to LDC. Both Customer and CCE shall try in good faith to resolve any dispute. The dispute or complaint relating to a residential customer may be submitted by either party at any time to the DPS pursuant to its Complaint Handling Procedures (“Procedures”) by calling the DPS at 1.800.342.3377 or by writing to the DPS at: New York State Department of Public Service, Office of Consumer Services, Three Empire State Plaza, Albany, New York 12223, or through its website at: www.dps.state.ny.gov. Customer must pay the bill in full, except for the specific disputed amount, during the pendency of the dispute.

17. DISPUTE RESOLUTION (Commercial). In the event of a billing dispute or disagreement involving CCE’s service, Customer should contact CCE’s Customer Service Center as provided above. Customer must pay the bill in full, except for the specific disputed amount, during the pendency of the dispute. If the parties cannot resolve the dispute within 45 days, either party may avail itself of all remedies available under law or equity. The DPS will not resolve Non Residential disputes associated with the services provided under this Sales Agreement. However, the DPS will monitor inquiries and contacts from Non-Residential customers regarding energy service companies and an excessive number of confirmed complaints may result in an energy service company no longer being eligible to supply natural gas or electricity in New York State. 18. MODIFICATION. Subject to Section 3 herein, CCE may modify the terms of this Agreement at any time and such amended Agreement will supersede any previous agreement between Customer and CCE. CCE will provide Customer thirty (30) days prior written notice of any such modification. After receipt of such notice, Customer may cancel the Agreement by providing written notice to CCE before the commencement of the next billing cycle.

19. PROTECTION OF CUSTOMER RIGHTS. The services provided by Citizens to Customer are governed by the terms and conditions of the Agreement, the rules and regulations issued by LDC, the New York State Public Service Commission (NYPSC)’s Uniform Business Practices and HEFPA for residential customers. Citizens will provide at least 15 days’ notice prior to the cancellation of service to Customer. Electric and natural gas service may be disconnected only by LDC and only in compliance with rules set by the NYPSC. In the event of non-payment of any charges owed to Citizens, Customer may be subject to termination of commodity service and the suspension of distribution service under procedures approved by the NYPSC. Customer may obtain additional information by contacting Citizens at 1.866.223.8882 or the NYPSC may be contacted at 1.800.342.3355 (hotline); http://www.dps.state.ny.gov (internet address); or at 3 Empire Plaza, Office of Consumer Services, Albany, NY 12223-1350. You may also contact the Department for inquiries regarding the competitive retail energy market at 1.888.697.7728. Your LDC’s transmission and distribution functions will continue to be regulated by the NYPSC. In the event of failure to pay CCE for electricity and/or natural gas provided to you, CCE may terminate the business relationship between us and service may be disconnected by LDC at the request of CCE.

El Cliente autoriza a Citizens para obtener y revisar información relacionada con el historial de crédito del Cliente con las agencias de informe de crédito y la siguiente información de la LDC: historial de consumo; determinantes de facturación; número de cuenta; información de crédito; estatus de asistencia pública; existencia de emergencias médicas; estatus en cuanto a las necesidades humanas del Cliente, anciano, ciego o discapacitado y datos aplicables a los periodos de clima frio bajo PSL 32 (3); y la información relacionada con PSL 33, Situación Fiscal y elegibilidad para el desarrollo económico y otros incentivos. Esta información puede ser utilizada por Citizens para determinar si se iniciará y/o continuará proporcionando el servicio de suministro de energía al Cliente y no se revelará a terceras parte a menos que sea requerido por la ley. 3. PRECIO. 4. FACTURACION Y PAGOS. Usted continuará recibiendo una factura cada mes emitida por su LDC. A menos que se disponga otra cosa en el presente documento, las condiciones de pago se rigen por los términos de las tarifas de la LDC. Su factura se basará en las lecturas programadas de su contador y/o estimaciones provistas por la LDC. Las partes se comprometen a aceptar, para efectos de calcular la electricidad y gas natural entregado bajo este Acuerdo, la cantidad, calidad y la medida determinada por la LDC.

5. TÍTULO Y LOS IMPUESTOS. Usted deberá reembolsar a CCE por las ventas u otros impuestos, cual fuera su denominación, impuesta con respecto a la venta o transportación de electricidad y/o gas natural a menos que, antes de la ejecución de este Acuerdo, nos haya dado un certificado de exención fiscal válido.

6. AGENCIA-GAS. El Cliente por este medio designa a Citizens como agente para; (a) organizar y administrar los contratos y acuerdos de servicios entre el Cliente y Citizens y entre los transportistas de gasoductos interestatales de los Clientes proveedores de gas natural; b) denominan y programan con la interestatal de gasoductos el transporte del suministro de gas natural de los clientes desde el Punto de Venta a los puntos de Entrega, y con la LDC para la entrega del suministro de gas natural del Cliente de los Puntos de Entrega a las instalaciones de uso final del Cliente; y (c) agregado de suministros de gas natural del Cliente con dichos suministros de otros clientes atendidos por Citizens para mantener las calificaciones para el servicio de transporte de la LDC y resolver los desequilibrios que puedan surgir durante el término de este Acuerdo. Citizens como agente para el Cliente programará la entrega de suministros adecuados de gas natural que cumplen los requisitos de la puerta de la ciudad del Cliente según lo establecido por la LDC y en respuesta a la información proporcionada por la LDC. El cliente y Citizens están de acuerdo de que el título para, control de, y el riesgo de pérdida para el gas natural suministrado por Citizens bajo este acuerdo serán transferidos de Citizens al Cliente en el Punto (s) de Ventas. Los Puntos de Ventas para los suministros de gas natural proporcionados bajo este Acuerdo serán un punto o puntos localizados fuera del Estado de New York como seleccionado de vez en cuando por Citizens para asegurar la confiabilidad del servicio. Los Puntos de Entrega para el gas natural transportado por gasoductos interestatales serán las estaciones de la puerta de la ciudad de la LDC. 7. AGENCIA-ELECTRICIDAD. El Cliente por este medio designa a Citizens como agente para (a) organizar y administrar los contratos y acuerdos de servicios entre el Cliente y Citizens y aquellas entidades incluyendo el Operador del Sistema Independiente de New York (“NYISO”) dedicada a la generación, transmisión y entrega de suministro de electricidad al Cliente y (b) denominan y programan con las entidades apropiadas incluyendo la LDC para la entrega de la electricidad del Punto de Ventas a las instalaciones de uso final del Cliente. Citizens como agente para el cliente programará la entrega de suministro adecuados de electricidad que cumplen con los requisitos del Cliente conforme a lo establecido por la LDC y en respuesta a la información proporcionada por la LDC. El título de la electricidad pasará de CCE a usted antes de la entrega a su LDC, nuestro precio puede o no incluir impuestos de venta dependiendo de los requerimientos de la LDC. Estos servicios son proporcionados en condiciones normales de mercado y la compensación basada en el mercado es incluida en el precio indicado anteriormente.

8. TÉRMINO; TERMINACION; Y CARGOS DE TERMINACION TEMPRANA. Su servicio y el término de este acuerdo comenzarán en la siguiente lectura disponible de su contador y continúa hasta que cualquiera de las partes provea una notificación de quince (15) días de su intención de cancelar; la LDC completará la terminación en la siguiente fecha disponible de la lectura de su contador de acuerdo con sus reglas. Un cliente residencial puede cancelar este Acuerdo en cualquier momento durante tres (3) días laborables siguientes a la recepción de este Acuerdo llamando a CCE al 1.866.223.8882. Si un Cliente Comercial termina este Acuerdo antes de la finalización del período Inicial o Renovación o si CCE termina este Acuerdo debido al incumplimiento del Cliente, el cliente deberá pagar a CCE además de cualquier otro cargo aplicable, una cancelación o cargo por cancelación anticipada de $250. A pesar de lo anterior, para todos los clientes comerciales solicitados a través de la comercialización de puerta a puerta, el cargo de cancelación anticipada será no mayor de $100 si el término restante es menor de 12 meses y $200 si el término restante es de 12 meses o más.

9. ASIGNACION. CCE podrá asignar o transferir sus derechos u obligaciones bajo este Acuerdo después de informarle a usted primero de dicha transferencia o asignación. Usted no podrá asignar ni transferir sus derechos u obligaciones bajo este Acuerdo.

10. OPCION DE LEY. Este Acuerdo se interpretará de acuerdo con y se regirá por las leyes del Estado de Nueva York sin tener en cuenta los conflictos de las disposiciones legales del mismo.

11. NO HAY GARANTIAS. El cliente reconoce y acepta que no hay ninguna garantía, derecho o remedio, ya sea, expresa, implícitas o legal, se da o destinados que vayan a surgir de este acuerdo con la excepción de lo que se expresa en este documento y CCE niega específicamente cualquier otra garantía, expresa o implícita, incluyendo cualquier garantía de comercialización o aptitud para un propósito o uso particular.

12. DIVISIBILIDAD. En caso de que alguna parte de este Acuerdo sea declarada inválida por cualquier razón, tal decisión no afectará de ninguna manera la validez de la porción restante del presente Acuerdo, las cuales permanecerán en pleno vigor y efecto como si la parte considerada inválida no había sido contenida en el presente Acuerdo en el momento de la ejecución de este Acuerdo. Si en un futuro se produce un cambio en cualquier ley, regla o regulación por el que CCE es prevenido, prohibido o frustrado de llevar a cabo los términos del Acuerdo, entonces, a la sola discreción de CCE, el presente Acuerdo podrá ser cancelado. Si, en una fecha futura, hay un cambio en la tarifa aprobada federal o estatal que afecte los costos de CCE para la compra de electricidad y/o gas natural requerido para proporcionar su servicio, entonces, a la sola discreción de CCE, el presente Acuerdo podrá modificarse para reflejar dichos costos.

13. FUERZA MAYOR. Excepto en los casos establecidos en este documento, una Fuerza Mayor es la única excusa para el incumplimiento y todas las otras excusas (en derecho o en equidad) son renunciadas. Excepto por las obligaciones de pago, un evento de Fuerza Mayor será, previa notificación, excusa el desempeño de ambas partes durante el evento. “Fuerza Mayor” significa los eventos no razonablemente previsible en la fecha de vigencia del mismo y fuera del control de la parte que solicita e incluyen eventos de Fuerza Mayor asociados con su LDC o el proveedor u otros utilizados para entregar la electricidad y/o gas natural a la residencia del cliente.

14. LIMITACIÓN DE RESPONSABILIDAD. En ningún caso CCE o el cliente será responsable del otro o cualquier tercero por ningún daño indirectos, incidentales, consecuentes, morales, dependencia o daño especial, incluyendo sin limitación, daños por perdidas de beneficios, ventaja, ahorros o ingresos de cualquier tipo o aumento del costo de operaciones, sea o no CCE o el cliente sido informado de la posibilidad de tales daños. La responsabilidad de CCE y exclusivos recursos del cliente en contra de CCE, por daños causados por corte de servicio, defecto o fallos serán las disposiciones de terminación establecidas anteriormente en la sección 8. La responsabilidad de CCE para otras reclamaciones que surjan en relación con cualquier servicio o de este acuerdo, si no se limita de otra forma por otra disposición de este acuerdo, se limitará a los daños directos aprobados que no exceda por demanda (o en el agregado durante un periodo de 12 meses), el pago neto total hecho por el cliente por el servicio durante los 12 meses anteriores al mes en que ocurrieron los daños.

15. INDEMNIZACIÓN. El cliente es responsable por y deberá indemnizar a CCE en contra de cualquier y todas las responsabilidades que se deriven del incumplimiento del Cliente para cumplir plenamente con el presente Acuerdo y el daño o perjuicio causado por la electricidad y/o gas natural después de su entrega a la residencia del Cliente.

16. RESOLUCION DE DISPUTA (Residencial). El Cliente acepta contactar primero a CCE por escrito y tratar de resolver todas las disputas de facturación o problemas de servicio directamente. Todas las controversias relativas a la transmisión, distribución, cortes de energía y las facturas de la LDC deben ser dirigidas a la LDC. Tanto el Clientes y CCE deben tratar de buena fe resolver cualquier controversia. La disputa o reclamación relativa a un cliente residencial puede ser presentada por cualquiera de las partes en cualquier momento a la DPS en conformidad con sus Procedimientos de Gestión de Reclamaciones (“Procedimientos”) llamando a DPS al 1.800.342.3377 o por escrito a DPS a: New York State Department of Public Service, Office of Consumer Services, Three Empire State Plaza, Albany, New York 12223, o a través de su página red: www.dps.state.ny.gov. El cliente debe pagar la factura en su totalidad, a excepción de la cantidad en disputa específica, durante la tramitación de la controversia.

17. RESOLUCION DE DISPUTA (Comercial). En el caso de una disputa de facturación o el desacuerdo que involucre el servicio de CCE, el Cliente debe comunicarse con el Centro de Servicio al Cliente de CCE según lo previsto anteriormente. El cliente debe pagar la factura en su totalidad, a excepción de la cantidad en disputa específica, durante la tramitación de la controversia. Si las partes no pueden resolver la disputa dentro de 45 días, cualquiera de las partes podrá hacer uso de todos los recursos disponibles bajo la ley o la equidad. El DPS no va a resolver las disputas No Residenciales asociados a los servicios prestados bajo este Acuerdo de Venta. Sin embargo, el DPS supervisará las investigaciones y contactos de clientes No Residenciales con respecto a empresas de servicios energéticos y de un número excesivo de quejas confirmadas podría resultar en una empresa de servicios energéticos ya no estar disponible para suministrar gas natural o electricidad en el Estado de Nueva York. 18. MODIFICACION. Sujeto a la Sección 3 del presente acuerdo, CCE podrá modificar los términos de este Acuerdo en cualquier momento y tal modificación del Acuerdo sustituirá a cualquier acuerdo anterior entre el Cliente y CCE. CCE proporcionará al Cliente con treinta (30) días de aviso previo por escrito de tal modificación. Después de recibir dicha notificación, el Cliente puede cancelar este Acuerdo mediante notificación escrita a CCE antes del inicio del próximo ciclo de facturación.

19. PROTECCIÓN DE LOS DERECHOS DEL CLIENTE. Los servicios proporcionados por Citizens al Cliente se rigen por los términos y condiciones de este Acuerdo, las normas y regulaciones emitidas por la LDC, y las Practicas Uniformes para Negocios de la Comisión de Servicios Públicos del Estado de New York (NYPSC) y HEFPA (Ley de Prácticas Justas de Energía en el Hogar) para clientes residenciales. Citizens proporcionará un aviso por lo menos 15 días antes de la cancelación del servicio al Cliente. El servicio de electricidad y gas natural puede ser desconectado solo por la LDC y solamente en cumplimiento de las normas establecidas por NYPSC. En caso de falta de pago de cualquier cargo adeudado a Citizens, el Cliente puede ser sujeto a la terminación del servicio y la suspensión del servicio de distribución bajo los procedimientos aprobados por NYPSC. Las funciones de transmisión y distribución de su LDC seguirán siendo reguladas por la NYPSC. En caso de falta de pago a CCE por la electricidad y/o gas natural proporcionado a usted, CCE podrá terminar la relación comercial entre nosotros y el servicio puede ser desconectado por LDC a petición de CCE.
